
Terms and Conditions for Clinic Onboarding
- Applicants who meet the criteria below are eligible and encouraged to apply:
- The MSMEs / cooperatives under Suruhanjaya Koperasi Malaysia / SKM (“Cooperatives”) must have at least 60% ownership by Malaysian citizens.
- The MSMEs must be registered with the Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia / SSM) / Business License with the Local Authorities (Pihak Berkuasa Tempatan / PBT), and this criterion is also applicable to Cooperatives registered with the Malaysian Cooperative Commission (Suruhanjaya Koperasi Malaysia / SKM).
- The Certificate of Practice (Sijil Amalan) is applicable only to the professional group.
- The clinic must not have made any previous claims under the Geran Digital PMKS Madani (GDPM) initiative.
- MSMEs / Cooperatives must have been in operation for at least six (6) months prior to the date of the application.
- MSMEs / Cooperatives must have a minimum annual average turnover of at least RM50,000.
- Grant Package:
- Each eligible clinic will receive RM10,000 worth of benefits, including:
- Subsidized access to the Sihat Xpress Network for 12 months from the signup date.
- Subsidized Clinic Management System (CMS) subscription for 12 months from the signup date.
- A complimentary tablet for telemedicine consultations (upon grant approval).
- Each eligible clinic will receive RM10,000 worth of benefits, including:
- Onboarding Process:
- The clinic must complete and submit the e-registration form provided by MEASAT.
- Once the documents are verified, the clinic will receive the grant package.
- Use of Grant Benefits:
- The tablet and CMS provided must be used solely for telemedicine consultations and managing clinic operations.
- The clinic cannot sell, lease, or transfer the provided tablet and CMS to any third party.
- Obligations of the Clinic:
- The clinic agrees to actively participate in the Sihat Xpress network and provide telemedicine services.
- The clinic agrees to attend training sessions and webinars organized by MEASAT to ensure proper use of the provided technology.
- Reporting and Monitoring:
- The clinic agrees to provide regular reports on the use of the grant benefits and telemedicine services rendered.
- MEASAT reserves the right to conduct audits and inspections to ensure compliance with the terms and conditions.
- Confidentiality:
- The clinic must maintain the confidentiality of any proprietary information and data provided by MEASAT.
- The clinic must not disclose any information regarding the grant benefits or telemedicine services to unauthorized parties.
- Termination:
- MEASAT reserves the right to terminate the clinic’s participation in the Sihat Xpress network when:
- The clinic fails to comply with the terms and conditions.
- The clinic provides false or misleading information during the onboarding process.
- The clinic ceases to operate or closes down.
- The clinic consistently chooses not to participate or is unable to provide services to Sihat Xpress network customers.
- MEASAT reserves the right to terminate the clinic’s participation in the Sihat Xpress network when:
- Limitation of Liability:
- MEASAT shall not be liable for any indirect, incidental, or consequential damages arising from the use of the grant benefits or telemedicine services.
- The clinic agrees to indemnify and continuously hold MEASAT harmless from any claims, damages, or liabilities arising from the clinic’s participation in the Sihat Xpress network.
- The clinics acknowledge that Mudah Healthtech Sdn. Bhd. ("MHT") will make every reasonable effort to ensure timely delivery and proper installation of the Clinic Management System (CMS) as per the agreed schedule. However, the clinics agree that MHT shall not be held liable for any delays, failures, or issues related to the delivery or installation of the CMS, provided that such delays or failures are beyond the reasonable control of MHT.
- The clinics further agree not to pursue any claims or legal actions against MHT in the event that the CMS is not delivered on time or installed properly, except where there is clear evidence of gross negligence or willful misconduct by MHT.
- Governing Law:
This agreement shall be governed by the laws of Malaysia.
- Acceptance of Terms:
By submitting the registration form and required documents, the clinic acknowledges and agrees to abide by the terms and conditions outlined in this document.
- Compliance with Laws and Regulations:
- The clinic must comply with all applicable local, state, and federal laws and regulations related to healthcare and telemedicine services.
- The clinic must ensure that all telemedicine consultations are conducted in accordance with professional standards and regulatory requirements.
- Data Protection and Privacy:
- The clinic must adhere to all relevant data protection and privacy laws in Malaysia, including the Personal Data Protection Act (PDPA).
- The clinic must ensure that patient data is securely stored and protected against unauthorized access or breaches.
- All information and data submitted by clinics, including certifications, business documents, and personal details, will be treated as confidential and protected in accordance with the Personal Data Protection Act (PDPA) 2010.
- Intellectual Property:
- All intellectual property rights related to the Sihat Xpress network and the provided technology are protected. Clinics are not permitted to replicate, modify, or distribute any aspect of the Sihat Xpress network or its technology.
- The clinic is granted a non-exclusive, non-transferable license to use the provided technology solely for the purpose of telemedicine services.
- Dispute Resolution:
Any disputes arising from the terms and conditions shall be resolved through mutual consultation and/or arbitration.
- Modification of Terms:
- MEASAT reserves the right to modify these terms and conditions at any time.
- It is the clinic's responsibility to regularly review the terms and conditions (available on MEASAT’s website) to stay informed of any changes.
- Force Majeure:
MEASAT shall not be liable for any delays or failure to perform its obligations under these terms and conditions due to events beyond its reasonable control, including but not limited to natural disasters, acts of war, or government regulations.
